Terms of Service

1. About CloudYali

The Service is operated by Terrascale Software Solutions LLP (LLPIN: ACG-6784), trading as CloudYali, a multi-cloud FinOps platform incorporated under the laws of India, with its registered office at SNO 16/44, 16/57, 16/49 to 54, NSG Royal One, 10th Floor, B-1003, Pimple Nilakh, Sangavi, Pune, Maharashtra, India – 411027 ("CloudYali", "we", "us", or "our").

CloudYali provides real-time cloud and AI cost visibility, anomaly detection, cost optimisation recommendations, and related services across AWS, GCP, Azure, AI APIs, data platforms, CDNs, and enterprise software.

2. Accounts

To access the Service, you must create an account. When you do, you agree to:

  • Provide accurate, complete, and current information at all times;
  • Maintain the confidentiality of your account credentials and restrict access to your account;
  • Accept responsibility for all activities that occur under your account, whether or not authorised by you; and
  • Notify us immediately at support@cloudyali.io if you become aware of any unauthorised access or breach of security.

The Service is intended for use by businesses and individuals aged 18 years or older. If you are accepting on behalf of an organisation, you must be duly authorised to do so.

If you are the first person to register on behalf of your organisation, you will be treated as the account administrator with the ability to invite and manage additional users ("Users"). You are solely responsible for: (a) determining which Users receive access and what permissions they hold; (b) all activities under your account and those of all Users you invite; and (c) ensuring all Users comply with these Terms. CloudYali is not liable for actions taken by Users acting within or outside the scope of permissions you grant them.

2b. Service Modifications and Beta Features

Service Modifications

CloudYali may continuously update the Service with new capabilities, replace features, or discontinue certain functionality at its sole discretion. Where a change reflects a material decrease in existing functionality, we will notify you in advance. In that case, you may terminate the affected subscription within 14 days of receiving such notice by contacting support@cloudyali.io, and CloudYali will refund any pre-paid unused subscription fees for the affected period.

Beta Features

From time to time, CloudYali may make certain features available on a preview, beta, or early-access basis ("Beta Features"). Beta Features are provided for evaluation and testing only. You acknowledge that:

  • Beta Features are not generally available or production-grade and may contain bugs or incomplete functionality;
  • CloudYali may modify, suspend, or discontinue any Beta Feature at any time without notice or liability;
  • Beta Features are provided "as is" and "as available" — they are not subject to the uptime commitments, service credits, or support SLAs in Section 7 unless expressly stated otherwise in writing; and
  • You use Beta Features at your own risk and are solely responsible for backing up any associated data.

3. Subscriptions and Billing

3.1 Subscription Plans

Parts of the Service are offered on a subscription basis. Available tiers (Free, Starter, Pro, Business, and Enterprise) are described on our Pricing page. Each tier is scoped by monthly cloud spend monitored through the platform.

3.2 Billing and Payment

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). You must provide a valid payment method. By submitting payment information, you authorise CloudYali to charge all applicable fees to that payment method.

All fees are quoted in United States Dollars (USD) unless stated otherwise. You are responsible for all applicable taxes, duties, and levies (including GST), excluding taxes on CloudYali's net income.

Online payments may be processed through third-party payment gateway providers ("Payment Processors"). By making a payment, you agree to review and be bound by the applicable Payment Processor's terms of use and privacy policy. CloudYali is not responsible or liable for any acts, omissions, or errors of any Payment Processor, and confirmation or rejection of your payment is determined solely by the Payment Processor.

3.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing cycle under the same terms, unless you cancel it. To cancel, use your account management page or contact us at support@cloudyali.io at least 30 days before the next renewal date.

3.4 Fee Changes

We may modify subscription fees for any renewal term by giving you at least 60 days' prior written notice. Your continued use of the Service after a fee change constitutes acceptance. If you do not accept, you may cancel before the next renewal date.

3.5 Refunds

Except as required by applicable law, paid subscription fees are non-refundable. No refunds are issued for unused portions of a prepaid annual term upon cancellation.

3.6 Free Trial

We may offer a free trial at our sole discretion. If billing information is collected at sign-up, you will not be charged until the trial expires. We reserve the right to modify or cancel any free trial offer at any time without notice.

3.7 Spend Overrun

If your actual monthly cloud spend monitored through the platform exceeds the limit for your selected tier, we will notify you and you must upgrade to the applicable tier within 15 days of such notice.

3.8 AWS Marketplace

If you subscribe via the AWS Marketplace, billing and payment are governed by the applicable AWS Marketplace terms, which supplement these Terms and prevail in the event of any conflict regarding billing mechanics.

3.9 Late Payment

Overdue amounts accrue interest at 1.5% per month (or the maximum rate permitted by law, whichever is lower). We may suspend your access if your account is more than 15 days past due, until all outstanding amounts are paid in full.

4. Acceptable Use

You agree not to, and shall ensure that any Users you authorise do not:

  • Reverse engineer or copy our platform. You must not reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, detection rules, or optimisation logic of the Service;
  • Create competing products. You must not use the Service to build, benchmark, or develop any product or service that competes with CloudYali;
  • Sublicense or resell. You must not sell, sublicense, assign, transfer, or make the Service available to any third party other than your authorised Users;
  • Interfere with the platform. You must not introduce malware, conduct denial-of-service attacks, attempt unauthorised access, or circumvent any security controls or rate limits;
  • Violate the law. You must not use the Service in any way that violates applicable Indian or international law, regulation, or any third-party rights (including intellectual property and privacy rights);
  • Send spam. You must not use the Service to transmit unsolicited advertising, spam, or chain letters; or
  • Misrepresent identity. You must not impersonate CloudYali, a CloudYali employee, or any other person or entity.

CloudYali reserves the right to suspend or terminate your access immediately and without prior notice if we reasonably believe you or any User is in breach of this section.

5. Intellectual Property

5.1 CloudYali IP

The Service and all underlying technology — including software, source code, cost detection rules, optimisation algorithms, anomaly detection logic, machine learning models, databases, user interfaces, trademarks, brand assets, and Documentation — are and shall remain the exclusive intellectual property of CloudYali and its licensors ("CloudYali IP"). These Terms grant you a right of access only. No ownership rights are transferred to you.

5.2 Your Data

You retain all right, title, and interest in any data you upload to or generate within the Service ("Customer Data"). You grant CloudYali a limited, non-exclusive, royalty-free licence to process Customer Data solely to: (a) provide the Service to you; (b) respond to support requests; and (c) generate anonymised, aggregated benchmarking insights that cannot be linked to you or any individual. We will not sell Customer Data to third parties.

5.3 Third-Party Components

The Service may incorporate third-party software or libraries subject to open source or third-party licence terms ("Third-Party Components"). Your right to use such components as part of the Service is subject to their applicable licence terms. In any conflict, Third-Party Component licence terms prevail solely with respect to those components. Nothing in the Service shall be deemed "open source" or "publicly available" software except for those Third-Party Components expressly licensed as such.

5.4 Feedback

If you provide CloudYali with suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose. You will not acquire any intellectual property rights in the Service as a result.

5.5 AI-Generated Output and Recommendations

Certain features of the Service involve artificial intelligence, machine learning, or algorithmic cost analysis ("AI Output"). You acknowledge and agree that:

  • AI Output — including cost recommendations, anomaly alerts, and optimisation suggestions — is provided for informational and decision-support purposes only and does not constitute financial, technical, or professional advice. You must independently verify the accuracy and appropriateness of any AI Output before acting on it;
  • Due to the nature of AI and machine learning, AI Output may sometimes be inaccurate, incomplete, or misleading. CloudYali makes no warranty as to the accuracy of AI Output;
  • You have no rights to AI Output generated from the Service for or by other CloudYali customers, regardless of any similarity to AI Output provided to you; and
  • CloudYali has no duty to control how you interpret, rely on, or act upon AI Output, and you hereby release CloudYali from all liability for any decision, action, or financial outcome arising from your use of or reliance on AI Output, except as otherwise expressly set out in these Terms.

6. Data and Privacy

Our Privacy Policy governs how we collect, use, and protect information about you. By using the Service, you consent to our data practices as described there.

CloudYali processes Customer Data as a data processor on your behalf, solely for the purposes described in these Terms. We implement appropriate technical and organisational measures to protect Customer Data from unauthorised access, loss, or disclosure.

Where your use of the Service involves personal data subject to the Digital Personal Data Protection Act, 2023 (India), GDPR (EU/UK), or equivalent regulation, you may request a Data Processing Agreement (DPA) by contacting support@cloudyali.io.

You agree to subscribe to service-related communications. You may opt out of marketing communications at any time by following the unsubscribe link or contacting support@cloudyali.io.

7. Service Levels and Support

CloudYali will use commercially reasonable efforts to ensure platform availability of at least 99.5% per calendar month, excluding scheduled maintenance and circumstances beyond our reasonable control (see Section 13).

We will endeavour to schedule maintenance during off-peak hours (typically 01:00–05:00 IST) and provide at least 48 hours' advance notice via email or in-platform notification.

Service credit eligibility, credit amounts, and support response time commitments applicable to your tier are described on the Pricing page and, for Enterprise customers, in a separately executed Order Form or Subscription Agreement. Service credits are the exclusive remedy for availability failures and must be claimed within 30 days of the relevant month.

8. Confidentiality

Each party agrees to keep the other party's non-public business, technical, and financial information confidential, and to use it only for the purpose of performing obligations or exercising rights under these Terms. Neither party will disclose the other's Confidential Information to third parties without prior written consent, except to employees, contractors, and advisors who need to know and are bound by equivalent confidentiality obligations, or as required by law.

All Customer Data is treated as your Confidential Information. These confidentiality obligations survive termination of these Terms for a period of two (2) years.

If the parties have executed a separate Non-Disclosure Agreement, its terms supplement this section and prevail in the event of any conflict.

9. Term and Termination

These Terms commence when you first access the Service and continue until your subscription is cancelled or these Terms are terminated.

9.1 Termination by You

You may terminate your account at any time by cancelling your subscription in accordance with Section 3.3. Termination takes effect at the end of the current billing cycle.

9.2 Termination by CloudYali

We may terminate or suspend your account immediately and without prior notice if you breach these Terms, including but not limited to breach of Section 4 (Acceptable Use) or Section 5 (Intellectual Property), or if your account is more than 30 days past due. We may also terminate these Terms for any reason with 30 days' written notice to you.

9.3 Effect of Termination

On termination: (a) all licences granted to you immediately cease; (b) we will retain Customer Data for 60 days following termination to allow you to export it — please contact support@cloudyali.io to request an export — after which it will be securely deleted; and (c) all accrued payment obligations survive. Sections 5, 8, 10, 11, 12, and 14 survive termination.

10. Indemnification

You agree to defend, indemnify, and hold harmless CloudYali and its officers, directors, employees, agents, licensors, and affiliates (collectively, "CloudYali Parties") from and against all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of or access to the Service, or the use of the Service by any User you have authorised;
  • Any Customer Data you provide to the Service, including any claim by a third party that your Customer Data infringes, violates, or misappropriates their intellectual property rights or privacy rights;
  • Your breach of any provision of these Terms; or
  • Your violation of any applicable law or regulation in connection with your use of the Service.

CloudYali will: (a) provide you with prompt written notice of any such claim; (b) allow you, at your option, to assume sole control of the defence and settlement of the claim (provided that CloudYali may participate at its own expense); and (c) provide reasonable cooperation at your expense. You must not settle any claim in a manner that imposes any obligation or liability on CloudYali without our prior written consent.

11. Disclaimer of Warranties

Except as expressly stated in these Terms, the Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, CloudYali disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

All cost recommendations, anomaly alerts, optimisation suggestions, and AI Output made available through the Service are provided for general informational and decision-support purposes only. They do not constitute financial, accounting, tax, legal, or professional advice. CloudYali does not warrant the accuracy, completeness, or fitness for purpose of any such output. Any reliance you place on such information is strictly at your own risk.

CloudYali does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that it will meet your specific requirements beyond what is expressly stated in these Terms.

CloudYali is not responsible for unauthorised access to Customer Data unless such access results from our gross negligence or wilful misconduct.

12. Limitation of Liability

12.1 Liability Cap

To the fullest extent permitted by applicable law, CloudYali's aggregate liability to you — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total fees paid by you in the three (3) calendar months immediately preceding the event giving rise to the claim.

12.2 Exclusion of Consequential Loss

To the fullest extent permitted by applicable law, CloudYali shall not be liable for any: (a) indirect, incidental, special, consequential, or punitive damages; (b) loss of profits, revenue, business, data, goodwill, or anticipated savings; or (c) costs of procuring substitute goods or services — even if we have been advised of the possibility of such damages.

12.3 Exceptions

The limitations in Sections 12.1 and 12.2 do not apply to: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; (iii) your breach of Section 4 (Acceptable Use); (iv) your breach of Section 5 (Intellectual Property); (v) your indemnification obligations under Section 10; or (vi) any liability that cannot be excluded by applicable law.

12.4 Time Limit on Claims

Any claim arising out of or in connection with these Terms must be commenced within one (1) year of the date the cause of action accrued, after which it is permanently barred. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

13. Force Majeure

Neither party shall be in breach of these Terms or liable for delay or failure to perform where such failure results from causes beyond its reasonable control, including acts of God, natural disasters, epidemic, pandemic, war, terrorism, government action, power failures, or failure of third-party infrastructure (including cloud service provider outages). The affected party must promptly notify the other and use reasonable efforts to mitigate the impact. If the event continues for more than 60 days, either party may terminate these Terms without liability.

14. General

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any executed Order Forms or Subscription Agreements, constitute the entire agreement between you and CloudYali with respect to the Service. If you have a separately executed Subscription Agreement with CloudYali, its terms shall prevail in the event of any conflict with these Terms.

14.2 Amendments

We may amend these Terms at any time by posting the updated version on this page and updating the "Last Updated" date. For material changes (such as changes to liability, governing law, or payment terms), we will provide at least 30 days' advance notice via email or in-platform notification. For non-material changes, the updated Terms are effective immediately upon posting. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service before the effective date.

14.3 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

14.4 No Waiver

Failure by CloudYali to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.5 Assignment

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. CloudYali may assign these Terms to any successor entity in connection with a merger, acquisition, or sale of all or substantially all of its assets, with written notice to you.

14.6 Relationship of Parties

The parties are independent contractors. Nothing in these Terms creates any employment, agency, partnership, or joint venture relationship.

14.7 Third-Party Links

The Service may contain links to third-party websites or services. CloudYali has no control over such sites and assumes no responsibility for their content, privacy practices, or availability. Links do not constitute an endorsement.

14.8 Analytics

We may use third-party analytics tools (such as Google Analytics) to monitor and improve the Service. You may opt out of certain analytics data collection as described in our Privacy Policy.

14.9 Publicity

You grant CloudYali a non-exclusive licence to include your company's name and standard logo in our customer lists, on our website, and in marketing materials. You may revoke this licence at any time by written notice to support@cloudyali.io.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. The courts at Pune, Maharashtra, India shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or your use of the Service.

If you are accessing the Service from outside India, you do so at your own initiative and are responsible for compliance with local laws. Nothing in these Terms limits either party's right to seek emergency injunctive relief in any jurisdiction.
